Please read these Terms of Service (“Terms”) carefully before using MuniBot.com (the “Site”) or any services offered through the Site. By creating an account, submitting a search, or purchasing a report, you agree to be bound by these Terms. If you do not agree, do not use MuniBot.com.
MuniBot.com is operated by Pane Technologies, Inc., a Delaware corporation (“MuniBot,” “we,” “us,” or “our”). Our principal place of business is 5730 MacArthur Blvd NW, Washington, DC 20016.
1. Description of Service
MuniBot provides access to municipal compliance intelligence based on publicly available government records, including property code violations, enforcement actions, and related compliance data. We offer two report tiers:
- Quick Check ($9.99): A summary report including total violation count, open/closed breakdown, overall severity level, category summary, and date range.
- Full Compliance Report ($29.99): A detailed report including per-violation detail, severity classifications, notable flags, historical timeline, and a downloadable PDF export.
Reports reflect data available in MuniBot’s database at the time of your search. Coverage is limited to the markets and municipalities listed on the Site. We are not a government agency. We do not create or maintain original records; we aggregate and structure publicly available data from municipal sources.
2. Account Registration
To purchase a report, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@munibot.com if you suspect unauthorized access to your account.
You must be at least 18 years old to create an account and use the Site. By registering, you represent that you are 18 or older.
3. Payments, Refunds, and Report Access
3.1 Payment
Payments are processed by Stripe, Inc. on behalf of MuniBot. By completing a purchase, you agree to Stripe’s terms of service. We accept credit cards, Apple Pay, and Google Pay. All prices are in U.S. dollars.
3.2 One-Time Purchases
Quick Check and Full Compliance Report purchases are one-time transactions. You will be charged the displayed price at the time of purchase. Purchases are associated with a specific property address and the account used to complete the transaction.
3.3 Report Access
Once a purchase is confirmed, the report is available in your account dashboard indefinitely for re-access. You may not share report access with others or use a single purchase to generate reports for multiple users.
3.4 Monitoring Subscriptions
If you subscribe to address monitoring ($2.99/month per address), you authorize us to charge your payment method monthly until you cancel. You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. We do not prorate partial months.
3.5 Refunds
All purchases are final. Because report data is delivered immediately upon payment confirmation, we do not offer refunds after a report has been accessed. If you believe a report contains a material error, contact us at support@munibot.com and we will review the matter and, at our discretion, provide a credit or replacement report.
If an address you searched returns a “not in our database” result and you are charged despite no report being available, we will issue a full refund.
4. Data Accuracy; Limitations of Coverage
IMPORTANT: Please read this section carefully before relying on any report for a significant decision.
MuniBot reports are based on municipal records that MuniBot has aggregated from government sources. These records are inherently limited in several ways:
- Coverage gaps: MuniBot does not cover all municipalities, jurisdictions, or property types. The Site discloses the markets and municipalities covered.
- Data freshness: Records may not reflect violations issued, closed, or updated after our most recent data retrieval. Each report displays a data freshness timestamp.
- Completeness: Some municipalities do not digitize all violations. Records that exist only in paper form or unpublished internal systems may not appear in MuniBot reports.
- Accuracy: MuniBot reproduces data as it appears in municipal systems. We do not independently verify, adjudicate, or guarantee the accuracy of underlying records. Errors in municipal systems will appear in MuniBot reports.
- Clean reports: A report showing no violations means no violations were found in the data available to MuniBot as of the report date. It does not guarantee that the property is, or has ever been, free of violations.
A MuniBot report is a research tool, not a certification of compliance. Do not rely solely on a MuniBot report for any legal, lending, investment, transactional, or enforcement decision. Always verify critical findings with the relevant municipality.
5. No Legal, Regulatory, or Professional Advice
MuniBot is an information service. Nothing in any report, on the Site, or in any communication from MuniBot constitutes legal advice, regulatory guidance, investment advice, underwriting advice, or any other professional advice. MuniBot does not assess whether a property is “legally compliant” or “safe” in any legal sense. Severity classifications in our reports reflect our internal scoring methodology, not official government determinations.
If you need legal, regulatory, financial, or compliance guidance regarding a property, consult a licensed attorney, real estate professional, or other qualified advisor.
6. Acceptable Use
You agree to use MuniBot only for lawful purposes and only for your own personal, research, or professional purposes. You agree not to:
- Use automated tools (bots, scrapers, crawlers) to access, download, or aggregate data from the Site without our prior written consent.
- Resell, redistribute, or sublicense report data to third parties, except as part of your own professional services where you are providing the report to a specific client in connection with a specific property transaction.
- Reverse engineer, decompile, or attempt to extract the underlying data infrastructure, algorithms, or scoring methodology of the Platform.
- Use the Site or reports in any manner that violates applicable law or infringes the rights of any third party.
- Attempt to gain unauthorized access to any portion of the Site, the underlying systems, or accounts belonging to other users.
- Introduce malicious code, viruses, or other harmful components into the Site.
We reserve the right to suspend or terminate your account if we determine, in our reasonable judgment, that you have violated these acceptable use provisions.
7. Intellectual Property
All content on MuniBot.com, including but not limited to the Site design, report format, severity scoring methodology, category taxonomy, software, and documentation, is the property of Pane Technologies, Inc. and is protected by copyright, trademark, and other intellectual property laws.
When you purchase a report, we grant you a limited, non-exclusive, non-transferable license to use the report for your own personal or professional purposes. This license does not permit resale, redistribution, or creation of derivative works from MuniBot report data at scale. You may share an individual report with specific counterparties (e.g., a lender, attorney, or buyer) in connection with a specific property transaction without additional license, provided you do not strip attribution or data source information.
The underlying municipal records data reflected in reports is public-domain government data. MuniBot’s proprietary value is in the aggregation, normalization, structuring, and scoring of that data — not in the raw records themselves.
8. Disclaimer of Warranties
THE SITE AND ALL REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MUNIBOT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, TIMELINESS, AND NON-INFRINGEMENT.
MUNIBOT DOES NOT WARRANT THAT: (A) THE SITE WILL BE AVAILABLE WITHOUT INTERRUPTION OR ERROR; (B) REPORTS WILL BE COMPLETE, ACCURATE, OR CURRENT; (C) COVERAGE WILL BE AVAILABLE FOR ANY SPECIFIC ADDRESS OR JURISDICTION; OR (D) THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
MUNIBOT IS NOT RESPONSIBLE FOR ANY DELAYS, INTERRUPTIONS, OR INACCURACIES CAUSED BY MUNICIPAL OR GOVERNMENTAL DATA SOURCES, THIRD-PARTY DATA PROVIDERS, OR JURISDICTIONS THAT DO NOT PROVIDE DIGITAL ACCESS TO RECORDS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MUNIBOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR ANY REPORT, EVEN IF MUNIBOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL MUNIBOT’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO MUNIBOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, MUNIBOT’S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
You acknowledge that the limitations of liability set forth in this Section reflect a reasonable allocation of risk and are a fundamental element of the basis of the bargain between you and MuniBot. MuniBot would not provide the Site or reports to you absent these limitations.
10. Indemnification
You agree to defend, indemnify, and hold harmless MuniBot, its officers, directors, employees, affiliates, and service providers from and against any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or any report; (b) your violation of these Terms; (c) any decision, action, or transaction you take based on a MuniBot report; or (d) your violation of any applicable law or the rights of any third party.
11. Third-Party Services
MuniBot uses the following third-party services to operate the Site:
- Clerk (clerk.com): Authentication and account management. By creating an account, you agree to Clerk’s applicable terms and privacy policy.
- Stripe (stripe.com): Payment processing. By completing a purchase, you agree to Stripe’s terms of service. MuniBot does not store your payment card information.
- Vercel (vercel.com): Site hosting and delivery.
MuniBot is not responsible for the practices or content of any third-party service. Your use of those services is subject to their respective terms.
12. Term and Termination
These Terms are effective when you create an account or use the Site and remain in effect until terminated.
You may terminate your account at any time by contacting support@munibot.com. Termination of your account does not entitle you to a refund for any previously purchased reports.
We may suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms, if we are required to do so by law, or if we discontinue the Site. If we terminate your account without cause, we will refund any unused report credits.
Sections 4, 5, 7, 8, 9, 10, 13, and 14 survive termination of these Terms.
13. Dispute Resolution; Arbitration; Class Action Waiver
13.1 Informal Resolution
Before filing any formal legal claim, you agree to contact us at legal@munibot.com and describe the dispute. We will try to resolve the dispute informally within 30 days. If we cannot, either party may proceed to arbitration as set forth below.
13.2 Binding Arbitration
Any dispute arising out of or relating to these Terms, the Site, or any report that is not resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as modified herein. The arbitration will be conducted by a single arbitrator. The seat of arbitration will be Washington, DC.
Arbitration is less formal than a lawsuit in court. There is no judge or jury. Discovery is more limited. Court review of an arbitration award is limited. However, an arbitrator can award the same damages and relief as a court (including injunctive and declaratory relief and statutory damages).
13.3 Class Action Waiver
YOU AND MUNIBOT EACH AGREE THAT ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in the state or federal courts located in Delaware to protect intellectual property rights or confidential information. Nothing in this Section limits your right to file a complaint with applicable government agencies.
13.5 Opt-Out
You may opt out of arbitration by sending written notice to legal@munibot.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Delaware.
14. Governing Law
These Terms are governed by the laws of the State of Delaware and the laws of the United States applicable therein, without regard to conflict of laws principles. For any claim not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the effective date at the top of this page and, for material changes, notify you by email or by a prominent notice on the Site. Your continued use of the Site after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, stop using the Site and contact us to close your account.
16. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any additional terms disclosed at the time of purchase, constitute the entire agreement between you and MuniBot regarding the Site and supersede all prior agreements or understandings.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms will not constitute a waiver of our right to enforce it in the future.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without your consent in connection with a merger, acquisition, or sale of substantially all assets.
